Term of use

This User Agreement (hereinafter referred to as the " Agreement») regulates relations between LLC "MRFC+" (OGRN 5177746007885, TIN 7731384958, address of the legal entity location: 121471, Moscow, Mozhaiskoe shosse, 29, fl.1, bldg.VI, room 39, office 2., licensed for pharmaceutical activities), hereinafter referred to as "MRFC+" and by the User, for the use of the Service "Click Pharmacy", under the following conditions:

The User agrees that any use of the Service, including viewing information about Products without authorization on the Service, or authorization on the Service and performing actions to book the Products, indicates the User's full agreement with the terms of this Agreement in the version that was in effect during actual use of the Service.

1. Terms and definitions

Personal account is a set of protected pages at the Site created as a result of the User's registration on the Site, using which the User has the opportunity to use the functions Site to the extent and under the terms of the Agreement. Access to the Personal Account is carried out using the credentials (name, email address, phone number and password) specified by the User when registering on the Site.

Booking is a properly executed request from the User for booking in a separate department of the Seller at the selected address of a certain Product’ list.

User is an individual who has the necessary legal capacity to use the Service for information purposes, as well as for the purpose of booking the Products using the functionality of the Service.

Seller is a legal entity (or individual entrepreneur) with the necessary legal capacity, as well as a corresponding license for pharmaceutical activities, with which MRFC+ has concluded a commercial concession agreement.

Service is an Internet resource of LLC " MRFC+", posted on the website on the Internet at clickapteka.ru, including all levels of the specified domain (hereinafter referred to as the Site), accessible to the User via the site, the mobile version of the site, applications and other resources, which is a database of Sellers and Products, which has tools for the User to book selected Products from available Sellers.

A Product is an object of the material world that is not withdrawn from civil circulation, information about which is posted on the Website.

Order is a list of Products reserved by the User, which he (the User) intends to buy in the pharmacies of "MRFC+" or in a separate division of "MRFC+" or the Seller after examining the Goods and studying its instructions for use.

Separate division is a  type of pharmacy organizations "MRFC+" or the Seller included in the license for pharmaceutical activity.

2. Subject of the Agreement

2.1 "MRFC+" grants the User a free simple (non-exclusive) non-transferable license to use the Site and its software for their intended purpose, as provided for by the explicit user functions of the Site. The license specified in this clause is granted to the User for the period during which the Site remains available to the User.

2.2. The processing of User information is governed by the Privacy Policy posted on the "MRFC+" website on the Internet at: www.clickapteka.ru.

2.3. In order to avoid doubts about the legality of certain actions, the User is prohibited from:

2.3.1. circumvent the technical restrictions set on the Site;

2.3.2. study the technology, decompile or disassemble the Site, except for cases expressly provided for by the legislation of the Russian Federation;

2.3.3. create copies of the Site, as well as their external design;

2.3.4. change the Site in any way;

2.3.5. perform actions aimed at changing the functioning and performance of the Site;

2.3.6. perform the above actions in relation to any part of the Site.

3. The procedure for using the Service

3.1. The User has the right to view the information posted on the Service without prior authorization.

3.2. Information about Products is placed on the Service solely for the purpose of informing Users about the product range in separate divisions of " MRFC+". Information about the Product, including the name of the Product, its price, completeness and other parameters posted on the Service, may change from time to time. The placement of Information about Products (regarding medicines, dietary supplements, medical products) is not an offer of " MRFC+". For this product range, the User has the right to make only a reservation of the Product. The price of the Product is indicated on the Website. In case of incorrect indication for the price of the Product booked by the User, "MRFC+", as soon as possible, informs the User about this in order to confirm the Product booking at the corrected price or cancel the reservation made by the User. If it is impossible to contact the User, this Product reservation is considered canceled.

3.3. To make a Product reservation, the User must log in to the Personal Account or specify their name, phone number, and email address on the Service page (hereinafter referred to as the Authorization Data). After the User completes the booking of Products, the booking information and the User's authorization Data are sent to " MRFC+". Booking on the Service of Goods (regarding medicines, dietary supplements, medical products) is not the User’s offer to conclude a purchase and sale agreement, preliminary or any other agreement, and also is not an acceptance of the User, which indicates the conclusion of any agreements above.

3.4. When the User registers on the Site, he / she gets access to the booking status, as well as to the booking history through the Personal Account.

3.5. Starting to use any service/its individual functions of the site, after passing the registration procedure, or without passing the registration procedure (by specifying personal data in various forms on the site to create an account), the User is considered to have accepted the Agreement terms in full, without any reservations and exceptions, including giving consent to "MRFC+" to receive advertising newsletters of the site and information notifications about the order status in the form of SMS messages indicating: the order number, the order amount, the date and time of registration and receipt of the order, places where the order is received and other necessary information for making a purchase. If the user wishes to stop receiving mailings at any time, the user can refuse to receive them by following the instructions contained in each of the mailings. If the User does not agree with any of the Agreement provisions, the User is not entitled to use the services of " MRFC+". If the "MRFC+" has made any changes to the Agreement with which the User does not agree, he is obliged to stop using the "MRFC+" services.

4. User Registration. User Account

4.1. In order to use the services of "MRFC+" or some individual functions of the services, the User must complete the registration procedure, as a result of which an account is created for the User or the User must specify personal data in various forms on the site to create an account.

During the registration procedure, the User agrees to  personal data processing in the manner prescribed by the legislation of the Russian Federation for their collection, systematization, accumulation, storage, clarification (updating, modification), use, blocking, depersonalization, destruction, transfer (including to third companies engaged in logistics, providing courier or postal services).

4.2. For registration, the User undertakes to provide accurate and complete information about himself / herself on the issues proposed in the registration form, and to keep this information up to date. If the User provides incorrect information or "MRFC+" has reason to believe that the information provided by the User is incomplete or unreliable, "MRFC+" has the right, at its sole discretion, to block or delete the User's account and ban the User from using its services (or their individual functions).

4.3. LLC "MRFC+" is entitled at any time to require the User to confirm the data specified during registration, and to request in this regard supporting documents, the failure to provide which, at the discretion of " MRFC+", may be equated to the provision of false information and entail a refusal on the part of "MRFC+" to book or sell the Products for the User, including unilateral termination (on the part of "MRFC+") of this Agreement and other documents related to the Products’ booking and sale.

4.4. Login and password to access the User account. When registering, the User independently chooses a username (a unique symbolic name of the User account) and a password to access the account. MRFC+ has the right to prohibit the use of certain usernames, as well as to set requirements for the username and password (length, allowed characters, etc.).

4.5. The User is solely responsible for the security (resistance to guessing) of the password chosen by him, and also independently ensures the confidentiality of his password. The User is solely responsible for all actions (as well as their consequences) within or using the services of the site under the User's account, including cases of voluntary transfer by the User of data for access to the User's account to third parties on any terms (including under contracts or agreements).

4.6. The User is obliged to immediately notify MRFC+ of any unauthorized (not authorized by the User) access to the MRFC+ services using the User's account and/or of any violation (suspected violation) of their password confidentiality.

4.7. The User's use of their account. The User does not have the right to reproduce, repeat, copy, sell, or use for any commercial purposes any parts of the "MRFC+"services.

4.8. Termination of registration. "MRFC+" has the right to block or delete the User's account, as well as to prohibit access using any account to certain services of "MRFC+" and remove any content without explanation, including in case of violation by the User of the Agreement terms, the terms of other documents or the current legislation of the Russian Federation, as well as in case of non-use of the corresponding service by the User.

4.9. Deleting the User account. The User has the right to delete his / her account on all the MRFC+ services at any time or terminate it in relation to some of them by using the corresponding function in the personal section.

5. The order of interaction of the Buyer and "MRFC+" after the booking

5.1. "MRFC+" sends the User to the e-mail address or mobile phone number information about the parameters of the Products, confirmation or rejection of the booking, the actual availability of the Products, the actual cost of the Products at the time of booking, the delivery time of the Products to the Separate division of "MRFC+" or the Seller, the storage period of the Products  for the User in a Separate division, the order of purchase for the booked Products in a separate division, and other information, or makes direct contact with the User by mobile phone in order to communicate the above information.

5.2. The conclusion of the agreement between the User and "MRFC+" or the Seller takes place in a separate division of "MRFC+" or the Seller at the time of payment by the User of the Products, after its actual inspection.

5.3. After familiarizing the User with the Product, he / she informs "MRFC+" or the Seller of his / her intention to purchase the Product or refuses the Product in whole or in part. "MRFC+" or the Seller sells the Product to the User in the corresponding Separate division.

5.4. The addresses and working hours of the Separate divisions where the Products can be purchased are indicated on the Website "clickapteka.ru".

5.5. Upon receipt of the Product, the User is recommended to check the appearance and packaging of the Product, as well as its quantity, completeness, assortment, dosage. After payment by the User of the Product, claims on the quality, quantity, dosage of the Product and the quality of the packaging are not accepted (according to the Decree by the Government of the Russian Federation of 19.01.1998 No. 55 "On approval of the Rules for the sale of certain types of products, the list of durable products that are not subject to the buyer's demand for free provision of similar products for the period of repair or replacement, and the list of non-food products of proper quality that are not subject to return or exchange for similar products of other sizes, shapes, dimensions, styles, colors or complete sets").

5.6. The shelf life of the Product may differ from the shelf life of the Product indicated on the Website. At the same time, the remaining shelf life of the Product must be at least 6 (six) calendar months before the expiration date of the Product.

5.7. The Product packaging may differ from the packaging of the Product indicated on the Website. This difference is related to the Product manufacturer.

5.8. Delivery of goods belonging to the category of medicines is possible at the address specified by the User, provided that the User belongs to the category of citizens who are subject to the norms of the current legislation of the Russian Federation on the medicines’ delivery at home.

5.9. The date and time of the Products’ delivery are approximate and "MRFC+" has the right to change them at any time. Prior to the conclusion of the contract for sale of the Products between the User and "MRFC+" or the Seller, "MRFC+" has the right to refuse from transferring the Products (in whole or in part) due to its absence in the pharmacy network and / or in warehouses, and/or for other reasonable reasons.

5.10. MRFC+ has the right to unilaterally change the delivery address of the reserved Product and deliver it to another address of a Separate division of MRFC+ or the Seller. If the User refuses to get acquainted with the Product and redeem it at the changed address, "MRFC+" has the right to cancel the reservation.

5.11. The price of the Products, at the time of the contract conclusion, may change.

5.12. When the User pays for the Product, MRFC+ has the right to take into account the loyalty program (approved by MRFC+ LLC) in effect at the time of payment for the Product.

5.13. The User confirms that at the time of the contract conclusion, he is familiar with the instructions for the Product use and the User has no contraindications regarding the Product use. 

6. Terms of Using the Services

6.1. The User is solely responsible to third parties for their actions related to the use of the Service, including if such actions lead to a violation of the rights and legitimate interests of third parties.

6.2. When using the "MRFC+" services, the User does not have the right to:

6.2.1. impersonate another person or a representative of an organization/individual without appropriate documentary evidence, including employees of " MRFC+", forum moderators, site owner, as well as use any other forms and methods of other persons’ legal representation in the network, as well as mislead users or "MRFC+" about the properties and characteristics of any subjects or objects;

6.2.2. it is not authorized to collect and store personal data of other persons;

6.2.3. disrupt the operation of the "MRFC+” websites and services; 

6.2.4. post links to network resources, the content of which contradicts the current legislation of the Russian Federation;

6.2.5. perform actions aimed at violating the restrictions and prohibitions provided for in the Agreement, or facilitate these actions;

6.2.6. violate the norms of the current legislation of the Russian Federation, including the norms of international law.

6.3. When using the "MRFC+" services» the user must:

6.3.1. Comply with the current legislation of the Russian Federation when making purchases using the " MRFC+» Services.

6.3.2. When ordering products related to prescription medicines, at the time of making the purchase, submit and transmit to the representative of "MRFC+" or to the representative of another company authorized by "MRFC+" a prescription issued in accordance with the current legislation of the Russian Federation.

6.3.3. When passing the prescription to the representative of "MRFC+", check that the prescription is signed by the doctor and certified with his personal seal, no more than three medicines are written out on one prescription form, and there are no corrections on the prescription form. In the upper-left corner of the prescription form, the medical organization must be stamped with its name, address and phone number. On the prescription form issued by a private practitioner, the address of the doctor, the number, date and period of the license validity, and the name of the state authority that issued the document confirming the license must be indicated in the upper-left corner by printing or by stamping. If the prescription does not meet the above requirements, as well as the requirements provided for by the current legislation of the Russian Federation, the release of medicines "MRFC+" is not carried out. 

6.3.4. When ordering products using the "MRFC+" services, the User is informed that in accordance with the Federal Law of the Russian Federation from 07.02.1992 N 2300-1 (ed. of 18.07.2011) "On Consumer Rights Protection" , and the Decree of the Government of the Russian Federation of 19.01.1998 N 55 (ed. of 27.01.2009) "On approval of the Rules for the sale of certain types of products, the list of durable products that are not subject to the buyer's demand for free provision of similar products for the period of repair or replacement, and the list of non-food products of proper quality that are not subject to return or exchange for similar products of other sizes, shapes, dimensions, styles, colors or complete sets", products for the prevention and treatment of diseases at home (sanitation and hygiene items made of metal, rubber, textiles and other materials, tools, medical devices and equipment, oral hygiene products, eyeglass lenses, child care items), medicines; personal hygiene items (toothbrushes, combs, hair clips, hair curlers, wigs, hairpieces and other similar products); perfumes and cosmetics-are not subject to return and exchange for similar products.

7. Exclusive rights to the services’ content

7.1. All objects available through the "MRFC+" services, including design elements, text, graphics, illustrations, videos, (hereinafter referred to as the content of the services), as well as any content posted on the "MRFC+" services, are the objects of the exclusive rights of "MRFC+" and other copyright holders in accordance with the current legislation of the Russian Federation.

7.2. The use of the services’ elements is possible only within the framework of the functionality offered by a particular service. No elements of the content of the "MRFC+" services may be used in any other way without the prior permission of the copyright holder. The use includes, but is not limited to: reproduction, copying, processing, distribution on any basis, display in a frame, etc. The exception is the cases directly provided for by the legislation of the Russian Federation or the terms of using the corresponding  "MRFC+" service.

7.3. The User's use of elements of the services’ content for personal non-commercial use is allowed provided that all signs of copyright protection, related rights, trademarks, other notices of authorship are preserved, the name (or pseudonym) of the author/name of the copyright holder is preserved unchanged, and the corresponding object is preserved unchanged. The exception is the cases directly provided for by the legislation of the Russian Federation or the user agreements of the corresponding service " MRFC+".

8. Third-party sites

8.1. The MRFC+ services may contain links to other sites on the Internet (third-party sites). These third parties and their content are not checked by "MRFC+" for compliance with any requirements (reliability, completeness, legality, etc.). "MRFC+" is not responsible for any information, materials posted on third-party sites that the User accesses using the services, including for any opinions or statements expressed on third-party sites, advertising, etc., as well as for the availability of such sites or content and the consequences of their use by the User.

8.2. A link (in any form) to any site, product, service, or any information of a commercial or non-commercial nature posted on the Site does not constitute an endorsement or recommendation of these products (services, activities) on the part of " MRFC+", except in cases where this is explicitly indicated on the resources of " MRFC+»

9. Advertising on the " MRFC+» services

9.1. "MRFC+" is responsible for advertising placed on the "MRFC+" services within the limits established by the current legislation of the Russian Federation.

10. No warranty, limitation of liability

10.1. "MRFC+" is not responsible for any types of losses that occurred as a result of the User's use of the "MRFC+" services or individual parts/functions of the services;

10.2. "MRFC+" is responsible, in accordance with the current legislation of the Russian Federation, in the presence of fault.

11. Promotions

11.1. When issuing an order (product), MRFC+ has the right to request an identity card of the User (buyer) who made the order for the product or a notarized power of attorney for issuing the product to the relevant individual (if the product is collected by the User's representative). In the absence of these documents, MRFC+ has the right to refuse to issue the goods.

12. Other provisions

12.1. This Agreement is governed by and interpreted in accordance with the laws of the Russian Federation. Issues not regulated by this Agreement are subject to resolution in accordance with the legislation of the Russian Federation. All possible disputes arising from the relations regulated by this Agreement are resolved in accordance with the procedure established by the current legislation of the Russian Federation.

12.2. Nothing in the Agreement can be understood as the establishment of agency relations, partnership relations, joint activity relations, personal employment relations, or any other relations between the User and MRFC+ that are not expressly provided for in the Agreement.

12.3. If, for any reason, one or more provisions of this Agreement are declared invalid or unenforceable, this does not affect the validity or applicability of the Agreement remaining provisions.
